Terms and conditions for our services

1. Acceptance of Terms

By accessing or using the services provided by Eikon Solutions LLC (“Eikon Solutions,” “Company,” “we,” “our,” or “us”), you (“Client,” “you,” or “your”) agree to be bound by these Terms of Service (“Terms”). If you do not agree to these Terms, please do not use our services.

2. Description of Services

Eikon Solutions provides digital marketing, SEO, answer engine optimization (AEO), and AI solutions services, including but not limited to:

  • Digital Marketing Audits
  • Eikon Warden (search and AI visibility monitoring)
  • SEO and AEO execution projects
  • Lead nurturing and workflow automation
  • AI appointment setting and voice assistants
  • Database reactivation campaigns
  • Custom AI and automation solutions

3. Service Agreements

3.1 Project Scope

Specific deliverables, timelines, and pricing for each engagement are defined in a Statement of Work (SOW), service agreement, or product description. These Terms serve as the master agreement governing all services.

3.2 Timeline and Delivery

Project timelines are based on scope and complexity. Delivery dates provided during scoping are good-faith estimates and may be adjusted based on client responsiveness, project requirements, or unforeseen circumstances.

4. Payment Terms

4.1 Fees and Payment

Payment terms are specified for each product or engagement:

  • Digital Marketing Audit: Fixed fee payable at time of purchase
  • Eikon Warden: Monthly subscription, billed in advance
  • SEO & AEO Execution: Fixed-fee projects scoped per engagement
  • AI Solutions: Hosted (monthly), build-and-hand-off (one-time), or performance-based per SOW

Payment is processed securely through Stripe. We do not store payment card information.

4.2 Refund Policy

Refunds are not available once work on a deliverable has commenced. For productized offerings (Digital Marketing Audit, Eikon Warden), refunds are governed by the terms presented at the time of purchase. For custom engagements, refund and cancellation terms are defined in the applicable SOW.

5. Client Responsibilities

Client agrees to:

  • Provide accurate and complete information necessary for service delivery
  • Respond to information requests in a timely manner
  • Provide access to necessary systems, accounts, data, and personnel
  • Review and approve deliverables within agreed timeframes
  • Comply with all applicable laws and regulations

6. Intellectual Property

6.1 Client Deliverables

Custom deliverables, strategies, reports, and implementations created specifically for Client become the property of Client upon full payment, unless otherwise specified in the applicable SOW.

6.2 Eikon Solutions Intellectual Property

Eikon Solutions retains ownership of its methodologies, frameworks, internal tooling, pre-existing intellectual property, and any general knowledge or techniques used in delivering services. This includes proprietary agents, monitoring systems, and automation templates developed by Eikon Solutions.

7. SMS / Text Message Terms

By providing your phone number through any Eikon Solutions form or by opting in through another consent mechanism, you agree to receive SMS text messages from Eikon Solutions related to the purpose for which you provided your number. This may include appointment confirmations, service updates, and, where you have separately opted in, marketing messages.

Consent to receive SMS messages is not a condition of purchasing any service.

You must be 18 years of age or older to use this SMS service.

7.2 Message Frequency and Rates

Message frequency varies based on your interaction with us. Message and data rates may apply depending on your mobile carrier and plan.

7.3 Opting Out

Reply STOP to any SMS message from Eikon Solutions to unsubscribe from further messages. Reply HELP for help or assistance. Supported carriers include all major U.S. wireless carriers. Carriers are not liable for delayed or undelivered messages.

7.4 Privacy

SMS consent and mobile phone numbers are never shared with third parties or affiliates for marketing purposes. See our Privacy Policy for full details on data handling.

8. Confidentiality

Both parties agree to maintain the confidentiality of sensitive information shared during the engagement, including business strategies, proprietary data, and any information marked as confidential.

9. Limitation of Liability

9.1 Service Disclaimer

Our services are provided “as is” without warranties of any kind, express or implied. We make no guarantees regarding specific business outcomes, search rankings, lead volume, ROI, or revenue improvements. Search engine and AI platform algorithms are outside our control.

9.2 Limitation of Damages

To the maximum extent permitted by law, Eikon Solutions’ total liability for any claims related to our services shall not exceed the amount paid by Client for the specific services giving rise to the claim. In no event shall Eikon Solutions be liable for any indirect, incidental, consequential, or punitive damages.

10. Termination

10.1 Termination by Either Party

Either party may terminate ongoing services with 30 days written notice. Client remains responsible for payment of all services rendered through the termination date. Subscription services (such as Eikon Warden) may be canceled at any time and will remain active through the end of the current billing period.

10.2 Immediate Termination

We reserve the right to immediately terminate services if Client breaches these Terms, fails to make required payments, or engages in unlawful or abusive conduct.

11. Force Majeure

Neither party shall be liable for any failure to perform due to circumstances beyond their reasonable control, including natural disasters, government actions, network outages, or other unforeseeable events.

12. Governing Law

These Terms are governed by the laws of the State of Rhode Island, United States, without regard to conflict of law principles.

13. Dispute Resolution

Any disputes arising from these Terms or our services shall first be addressed through good faith negotiations. If resolution cannot be reached within 30 days, disputes shall be resolved through binding arbitration in Rhode Island under the rules of the American Arbitration Association.

14. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.

15. Entire Agreement

These Terms, together with any applicable SOW, service agreement, or product terms, constitute the entire agreement between the parties and supersede all prior negotiations, representations, or agreements.

16. Changes to Terms

We reserve the right to modify these Terms at any time. Updated Terms will be posted on this page with a new “Last Updated” date. Continued use of our services constitutes acceptance of the modified Terms.
